    Position Overview

    The Corporate Counsel (“CC”) serves as a legal advisor to the company and reports to the Chief Legal Officer.  The CC is responsible for being a key, primary point of contact and assisting the CLO on management, corporate, legal, and regulatory matters, including but not limited to: labor & employment; corporate governance; general commercial contracts; leases; management of external counsel; and other duties as may be assigned. 


    On any given day, the CC may be expected to analyze or comment on issues relating to each of the substantive legal areas mentioned in the paragraph above, as well as apprise themselves of another area of the law and cover where needed.  As such, the CC is expected to be a respected, calm and steady advisor, managing matters in furtherance of the best interest of the company, while ensuring the CLO stays appropriately informed on all of the CCs assigned matters.

    Other Job Functions

    • Provide legal counsel to management and human resources (HR) on compliance with existing labor and employment laws and new legislation
    • Provide legal counsel to management and HR and support the company on issues such as state and federal employment discrimination and anti-harassment statutes; NLRA standards and practices; FMLA and disability law claims; USERRA standards and practices; state and federal wage and hour laws and the FLSA; equal pay; corporate separateness and contingent workers' issues; affirmative action and diversity; drug-free workplace; employee discipline and termination; restructuring; whistleblower laws; wrongful discharge claims; and drafting employment and other HR related agreements and HR policies
    • Undertake litigation, mediation or other labor or employment related claims (where admitted) or cost-effectively manage outside counsel handling litigation, mediation or other labor or employment related claims, before federal and state courts and administrative agencies
    • Conduct and manage internal investigations relating to HR and labor and employment matters across the business
    • Draft and present up-to-date, business relevant training on labor and employment issues
    • Provide legal counsel and administrative support on corporate governance matters, including board of director and committee support functions, and draft board resolutions and policies governing corporate structure
    • Act in both an advisory and a “hands-on” position requiring day-to-day interaction with other members of the legal, real estate, IT, accounting and finance, marketing, and operations teams
    • May draft, review, analyze and negotiate general commercial and vendor contracts and other legal documents to which the company intends to become a party
    • May complete or supervise the completion of Medicare Enrollment and other similar state Medicaid provider applications; pharmacy, radiology, and other similar applications required in the hospital setting

    Basic Qualifications

    • J.D. degree plus state bar license is required (TX license or the ability to obtain a TX license is required)
    • Traditional labor and employment law experience is required
    • 3 to 5 years’ experience working as a lawyer with individual exposure to and individual responsibility for employment and labor law and corporate governance functions – all as articulated in Job Functions, above
    • Experience practicing in-house and in the healthcare industry is preferred
    • Ability to understand and resolve complex legal and business issues
    • Position requires fluency in English; precise written and oral communication
    • Ability to travel domestically as needed, depending on physical location, up to 20% annually
